Terms governing your access to and use of ForgeStop's website, platform, and services.
These Terms of Use ("Terms") govern your access to and use of the website, platform, applications, APIs, and services (collectively, the "Services") provided by ForgeStop Technology Corp. ("ForgeStop", "we", "us", or "our"), a company incorporated in Delaware with headquarters at 1221 Brickell Ave, Suite 900, Miami, FL 33131.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
These Services are intended for business use. The ForgeStop platform is designed for enterprise brand partners and their authorised personnel. If you are accessing the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
"Platform" means the ForgeStop NFC/RFID product authentication platform, including the Dashboard, Authentication App, Batchmaker application, and associated APIs.
"Brand Partner" or "Client" means an organisation that has entered into a Master Service Agreement (MSA) or Statement of Work (SOW) with ForgeStop.
"Authorised User" means an individual authorised by a Brand Partner to access the Platform, including Dashboard users, Batchmaker operators, and API consumers.
"Consumer" or "End User" means any individual who scans an NFC-enabled product to verify its authenticity.
3.1 The Platform is available to businesses and their authorised representatives. By using the Services, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms.
3.2 Authorised Users access the Platform via AWS Cognito passwordless authentication. You are responsible for maintaining the security of your login credentials and for all activities that occur under your account.
3.3 You must promptly notify ForgeStop at help@forgestop.com if you become aware of any unauthorised access to your account.
4.1 Subject to these Terms and any applicable MSA/SOW, ForgeStop grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended business purpose.
4.2 Brand Partners may use the Platform to manage NFC tag provisioning, monitor product authentication events, access scan analytics, and manage Batchmaker encoding operations.
4.3 End Users may use the Authentication App to verify the authenticity of NFC-enabled products by scanning the product's NFC tag.
You agree not to:
(a) Use the Services for any unlawful purpose or in violation of any applicable law, regulation, or these Terms.
(b) Attempt to gain unauthorised access to any part of the Services, other users' accounts, or any systems or networks connected to the Services.
(c) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide the Services, including the NFC authentication methodology.
(d) Interfere with or disrupt the integrity or performance of the Services, including by introducing malware, viruses, or other harmful code.
(e) Use automated scripts, bots, or scrapers to access or collect data from the Services without ForgeStop's prior written consent.
(f) Attempt to circumvent, disable, or interfere with any security features of the Services, including NFC tag authentication mechanisms.
(g) Resell, sublicense, or redistribute access to the Services to any third party without ForgeStop's prior written consent.
(h) Use the Services in any manner that could damage, disable, overburden, or impair ForgeStop's servers or networks.
(i) Share API keys, access tokens, or credentials with any unauthorised person or system.
6.1 ForgeStop's IP. The Services, including all software, algorithms, designs, trademarks, and Content, are the exclusive property of ForgeStop Technology Corp. or its licensors. Nothing in these Terms grants you any ownership right in the Services.
6.2 All Rights Reserved. You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Services. This includes the NFC authentication methodology, tag encoding processes, and Dashboard analytics interfaces.
6.3 Client Data. Brand Partners retain ownership of their brand data, product data, and content uploaded to the Platform. ForgeStop's use of such data is governed by the applicable MSA and Data Processing Agreement.
6.4 Feedback. If you provide suggestions, ideas, or feedback, ForgeStop may use such feedback without restriction or obligation to you.
7.1 Access to ForgeStop's APIs is subject to these Terms and any additional terms in the applicable MSA/SOW.
7.2 API keys are confidential and must be stored securely. You are responsible for all activity associated with your API keys.
7.3 ForgeStop may impose rate limits, usage quotas, or other technical restrictions. Exceeding these limits may result in suspension of access.
7.4 ForgeStop reserves the right to modify, deprecate, or discontinue APIs with at least 30 days advance notice for material changes.
8.1 ForgeStop's collection and use of personal data is governed by our Privacy Policy and Authentication App Privacy Policy.
8.2 For Brand Partners, data processing is further governed by the Data Processing Agreement and the applicable MSA.
8.3 ForgeStop does not sell personal data. End User scan data is collected in anonymised or pseudonymised form for authentication services and aggregated analytics.
9.1 ForgeStop will use commercially reasonable efforts to make the Services available 24/7, but does not guarantee uninterrupted or error-free operation.
9.2 We may temporarily suspend access for maintenance, updates, or security reasons. Where possible, advance notice will be provided.
9.3 ForgeStop is not liable for interruptions caused by circumstances beyond our reasonable control.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FORGESTOP DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORGESTOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
FORGESTOP'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO FORGESTOP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the limitations above apply to the fullest extent permitted.
You agree to indemnify, defend, and hold harmless ForgeStop from any claims, damages, losses, liabilities, costs, and expenses arising out of: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law; or (c) any third-party claim arising from your use of the Services.
13.1 ForgeStop may suspend or terminate your access at any time, with or without cause, upon notice. For Brand Partners, termination is governed by the applicable MSA.
13.2 Sections 6, 10, 11, 12, and 14 survive termination.
14.1 These Terms are governed by the laws of the State of Delaware, United States.
14.2 Disputes shall be subject to the exclusive jurisdiction of the courts in Miami-Dade County, Florida.
14.3 The foregoing does not apply to consumers based in the EU, UK, Switzerland, Norway, Iceland, or Brazil, who may bring claims in their country of residence.
ForgeStop may modify these Terms at any time. Material changes will be notified at least 30 days in advance. Continued use after the effective date constitutes acceptance.
16.1 Entire Agreement. These Terms, together with any applicable MSA, SOW, DPA, and Privacy Policy, constitute the entire agreement.
16.2 Severability. If any provision is found unenforceable, the remainder continues in full force.
16.3 Waiver. Failure to enforce any provision does not constitute a waiver.
16.4 Assignment. You may not assign your rights without consent. ForgeStop may assign without restriction.
